Terms of Use

Ortu Agro Platform

Last updated: October 24, 2026 · Effective: from the date of acceptance by the user

1. Identification

These Terms of Use ("Terms") govern access to and use of the digital livestock management platform ("Platform"), made available by Ortu Agro LTDA, a legal entity governed by private law, registered with the CNPJ (Brazilian company registration number) under No. 66.273.065/0001-19, headquartered at Avenida Paulista, 302, CEP 01310-000, São Paulo/SP, Brasil ("Company").

By accessing or using the Platform, the user declares that they have read, understood and fully agree to these Terms.

2. Purpose

The Platform is a digital livestock management system that allows the user to:

  • control and monitor the herd;
  • record production, operational and financial data;
  • view indicators and reports;
  • organize and analyze data on rural activity.

The Company may, at its sole discretion, add, remove or modify features of the Platform at any time.

3. Registration and Access

3.1. Access to the Platform requires prior registration.

3.2. The user declares that they are 18 (eighteen) years of age or older and have full legal capacity to accept these Terms and use the Platform.

3.3. The user declares that:

  • they will provide true, complete and up-to-date information;
  • they are responsible for the truthfulness of the data entered.

3.4. The user is fully responsible for:

  • keeping their login and password confidential;
  • all activities carried out under their account.

3.5. The Company may suspend or terminate the user's access in the event of:

  • improper use;
  • violation of these Terms;
  • suspected fraud or abusive behavior.

4. Nature of the Services

4.1. The Platform is a technological tool that supports management.

4.2. The Company does not perform operational activities on the farm, nor does it directly interfere in the conduct of the user's livestock activity.

4.3. The Company does not guarantee any economic, productive or financial result.

4.4. Information, reports, indicators or suggestions made available by the Platform:

  • are of a purely informational nature;
  • do not constitute technical, financial or investment advice.

5. User Responsibility

The user is solely responsible for:

  • decisions made on the basis of the information made available by the Platform, which is directly dependent on the data entered by the user themselves, or captured from equipment connected by the user to the Platform and confirmed by the user, the user being solely responsible for the truthfulness, quality and integrity of such information;
  • proper use of the features;
  • compliance with the law applicable to their activity;
  • integrity and quality of the data entered or captured from connected equipment and confirmed by the user.

6. Plans and Payments

6.1. Access to the Platform is conditional on subscribing to a paid plan, under the conditions in force at the time of enrollment.

6.2. Billing will be recurring, at the frequency of the subscribed plan, and may be monthly or annual.

6.2.1. On the monthly plan, billing takes place at each cycle of 30 (thirty) days.

6.2.2. On the annual plan, payment is made in advance and in full, for the 12 (twelve) months of access subscribed, with a discount on the equivalent amount of the monthly plan, under the conditions in force at the time of enrollment.

6.3. The user authorizes automatic billing in the manner chosen at the time of subscription.

6.3.1. So that access is not interrupted, the plan is automatically renewed at the end of each period, on the same subscribed option and under the conditions in force on the renewal date.

6.3.2. Renewal is a convenience. The user may turn it off at any time, without justification and without penalty, by requesting cancellation through the support channels or through the Platform itself. Once the request is made, no new charge is made and access remains available until the end of the period already paid.

6.3.3. The Company will notify the user at least 15 (fifteen) days before the renewal of the annual plan, stating the date and amount of the next charge, so that the decision whether or not to renew is made with clarity.

6.4. In the event of non-payment, the Company may:

  • suspend access to the Platform;
  • limit features;
  • cancel the account after a reasonable period.

6.5. Amounts paid are not refundable, except as otherwise provided by law.

6.5.1. The user may cancel the plan at any time. Access to the Platform remains available until the end of the period already paid, with no charge for the following cycle. There is no proportional refund for the unused period.

6.5.2. On the annual plan, payment in advance guarantees access for the 12 (twelve) months subscribed. Cancellation generates no penalty or additional charge, and access remains available until the end of the paid period; for that reason, there is no proportional refund.

6.5.3. The provisions of this section do not affect the right of withdrawal provided for in Article 49 of the Código de Defesa do Consumidor (Brazil's Consumer Protection Code), where applicable.

6.6. The Company may adjust plan prices upon prior notice of at least 30 (thirty) days before the plan renewal date. The new price will apply from the billing cycle following the end of the notice period. If the user does not agree with the adjustment, they may cancel the account before the new price takes effect, in accordance with Section 13.

6.7. Plans that include the artificial intelligence assistant (Peão Zé) have a usage limit per month, which applies to the account as a whole (it adds together all farms and all people on the account). The limit is measured by the volume of text that the artificial intelligence processes, in tokens (small pieces of text read and written by the model), and not by the number of questions: questions, answers, diagnoses, recommendations and reports sent via WhatsApp count toward the same limit. Consumption is shown on the Platform.

6.7.1. The limit renews on the first day of each month, Brasília time. In the free trial, the limit is a single limit for the entire trial period and does not renew.

6.7.2. When the limit runs out, Peão Zé becomes unavailable until the limit renews or until the user changes to a plan with a higher limit. The other features of the Platform remain available.

6.7.3. The Company may change the usage limit of the plans upon prior notice of at least 30 (thirty) days, by email to the registered email address or by a prominent notice on the Platform. A reduction of the limit applies from the billing cycle following the end of the notice period; on the annual plan, only from the renewal. If the user does not agree with the change, they may cancel the account before the new limit takes effect, without penalty, in accordance with Section 13.

7. Intellectual Property

7.1. All rights relating to the Platform, including software, code, layout, trademark and features, belong exclusively to the Company.

7.2. The user is prohibited from:

9. Limitation of Liability

9.1. The Company will not be liable for:

  • financial losses, lost profits, indirect, incidental, consequential or punitive damages arising from the use of, or inability to use, the Platform;
  • losses arising from decisions made by the user based on information, reports or indicators made available by the Platform;
  • failures, interruptions or errors arising from third-party services, including internet providers, servers, external integrations and payment processors;
  • temporary unavailability of the Platform, whether due to scheduled maintenance, updates or technical incidents;
  • loss, corruption or inaccuracy of data entered by the user;
  • fortuitous events or force majeure;
  • moral (non-pecuniary) damages related to the use of the Platform.

9.2. The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose or non-infringement.

9.3. The user acknowledges and accepts that use of the Platform is at their own risk, and that the Company assumes no liability for economic, productive or operational results obtained from the use of the Platform.

9.4. In any event, the total and cumulative liability of the Company to the user, for any cause and regardless of the form of action, will be limited to the lesser of: (a) the amount actually paid by the user in the 6 (six) months preceding the event that gave rise to the claim; or (b) the amount equivalent to 1 (one) annual fee of the subscribed plan.

9.5. The limitations set out in this Section apply to the maximum extent permitted by applicable law.

10.5. Emergency interruptions may occur without prior notice, if necessary to preserve the security or integrity of the Platform.

11. Changes to the Terms

11.1. The Company may change these Terms at any time.

11.2. The user will be notified of material changes at least 7 (seven) days in advance, by a communication sent to the registered email address or by a prominent notice on the Platform itself.

11.3. Continued use of the Platform after the end of the notice period constitutes acceptance of the new Terms.

11.4. If the user does not agree with the changes, they may close their account before the new Terms take effect, in accordance with Section 13.

12. Communications

12.1. All official communications from the Company to the user will be made by the email address registered on the Platform or by notices displayed directly on the Platform itself.

12.4. Communications sent by the Company to the registered email address will be deemed received by the user at the time of sending, regardless of read confirmation.

13. Termination and Data After Cancellation

13.1. The user may cancel their use of the Platform at any time.

13.2. The Company may terminate access in the event of a violation of these Terms.

13.3. After cancellation or closure of the account, the Company will retain the user's data for a period of 30 (thirty) days, during which the user may request the export of their data in an accessible format.

13.4. Once the period provided for in clause 13.3 has elapsed, the data will be permanently deleted, unless there is a legal obligation to retain it.

14.3. The deadline for fulfilling the export request will be up to 15 (fifteen) business days from the date of the request.

15. Third-Party Integrations and Services

15.1. The Platform uses third-party services and technologies to complement its features, including, among others:

  • artificial intelligence services provided by third parties, used to generate analyses, suggestions and insights from the data entered by the user;

  • the results generated by artificial intelligence tools are merely suggestive and informational in nature, and do not constitute technical, veterinary, financial or any other professional recommendation;

  • the availability, accuracy and continuity of third-party services are not guaranteed by the Company, and any interruptions, changes or discontinuations of such services do not give rise to any right to compensation or refund.

15.3. The Company reserves the right to replace, add or remove integrations with third-party services at any time, without the need for the user's prior consent, provided that the essential functionality of the Platform is maintained.
